These Terms of Service (the "Terms") form a legal agreement between you and Telehealth GG LLC ("Telehealth GG," "we," "us," or "our") and govern your access to and use of the website located at Telehealth.gg and any related account-registration, login, and billing-support features we provide (collectively, the "Platform" or the "Services"). By accessing or using the Platform, creating an account, or submitting any payment through the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. IF YOU DO NOT AGREE TO THESE TERMS OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE THE PLATFORM.
Please read Section 2 carefully. It explains that Telehealth GG is a front-end technology and marketing platform only, that all medical and health-care services are provided by an independent third party identified below as "Wheel," and that Telehealth GG does not provide medical care, does not access or hold your health information, and is not responsible for the treatment or clinical decisions of Wheel or its clinicians.
1. Introduction and Acceptance
1.1 Acceptance. By using the Platform you acknowledge that you have read, understood, and agree to these Terms. Your continued use of the Platform constitutes ongoing acceptance of these Terms as then in effect.
1.2 Updates to These Terms. We may modify or update these Terms from time to time to reflect changes in our practices, our Services, or the law. We will indicate the date of the most recent revision by updating the "Last Updated" date above and, where appropriate, by other notice. Changes are effective when posted. Please review these Terms periodically. Your continued use of the Platform after any update signifies your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
1.3 Wheel's Terms Govern Your Care. Your access to and receipt of any medical or health-care services, your provider-patient relationship, your medical records, your health information, and all clinical consents and disclosures are governed by the separate agreements you enter into directly with Wheel and Wheel Medical, PA ("Wheel Provider Group") during registration and intake, including the Wheel Terms of Use, the Wheel Provider Group Telehealth Informed Consent (also called the Consent to Telemedicine), and the Wheel Provider Group Notice of Privacy Practices (collectively, the "Wheel Terms"). You affirmatively accept the Wheel Terms during Wheel's onboarding process. The Telehealth Informed Consent and Notice of Privacy Practices are available at https://care.telehealth.gg/care/legals/notice-of-privacy-practices and https://care.telehealth.gg/care/legals/consent-to-telemedicine. To the extent any provision of these Terms conflicts with the Wheel Terms with respect to Clinical Services, health information, or the provider-patient relationship, the Wheel Terms control.
1.4 Account Registration. To use certain features of the Platform you must create an account (a "Telehealth GG Account") by providing the limited information described in Section 4. You agree to provide truthful, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. Do not share your credentials. Notify us promptly at legal@telehealth.gg if you believe your Account has been accessed without authorization.
1.5 Your Direct Agreement With Wheel. You acknowledge that although you may reach Wheel's services through the Telehealth.gg website, your agreement for the telehealth platform and the Clinical Services is entered into directly between you and Wheel under the Wheel Terms. Telehealth GG is not a party to, and is not responsible for, Wheel's services, and Wheel is not responsible for the Telehealth.gg website or the front-end Services provided by Telehealth GG. These Terms govern only your use of the Telehealth.gg website and the front-end Services described here.
2. The Nature of Our Services; Our Limited Role
2.1 Front-End Technology and Marketing Platform Only. Telehealth GG operates a consumer-facing website and account interface that connects users with an independent third-party telehealth provider in order to make that provider's services more easily accessible. Telehealth GG is a technology, marketing, and administrative-support company. Telehealth GG is not a medical practice, a health-care provider, a clinic, a pharmacy, an insurer, or a provider of any clinical service of any kind, and it is not licensed to provide and does not provide medical care.
2.2 Wheel Provider Group Provides All Clinical Services. All medical and health-care services made available in connection with the Platform are provided solely and independently by Wheel Health, Inc.'s affiliated professional entities and provider groups (including Wheel Medical, P.A.), together with the licensed physicians and clinicians they engage (collectively, the "Clinicians," and together with such entities, "Wheel"). As used in these Terms, "Clinical Services" means all health-care and medical services of any kind, including patient intake and screening, identity verification, clinical eligibility determinations, evaluation, diagnosis, consultation, treatment, prescribing, laboratory ordering and review, the creation and maintenance of medical records, and all related clinical activities. All Clinical Services are performed by Wheel Provider Group in Wheel Provider Group's sole professional discretion and under Wheel Provider Group's sole authority and control. Telehealth GG has no control or discretion over, and no involvement in, the methods, manner, timing, or substance of any Clinical Services.
2.3 No Practice of Medicine; No Provider-Patient Relationship With Us. Nothing in your use of the Platform creates a provider-patient, physician-patient, or other clinical or fiduciary relationship between you and Telehealth GG. Any provider-patient relationship is formed exclusively between you and Wheel Provider Group and its Clinicians. Telehealth GG does not practice medicine, does not employ or supervise the Clinicians, and does not direct or interfere with their professional judgment.
2.4 No Medical Advice From Us. Telehealth GG does not provide medical advice, diagnosis, or treatment, and nothing made available by Telehealth GG on or through the Platform is, or should be relied upon as, medical advice. Any medical information, guidance, diagnosis, or treatment you receive comes solely from Wheel Provider Group and its Clinicians. You should rely only on Wheel and its Clinicians, and on your own qualified health-care professionals, for medical decisions.
2.5 We Do Not Access or Hold Your Health Information. Telehealth GG does not host, store, access, process, review, or otherwise handle any of your medical records or health information. As used in these Terms, "Health Information" means any health, medical, clinical, treatment, prescription, diagnostic, or similar information relating to you, including any "protected health information" as defined under the Health Insurance Portability and Accountability Act of 1996, as amended ("HIPAA"). All of your Health Information is collected, hosted, maintained, and controlled exclusively by Wheel within Wheel's own systems. The only information Telehealth GG holds is the limited account and payment information described in Section 4, none of which is Health Information.
2.6 Independent Parties; No Agency. Telehealth GG and Wheel are separate and independent entities. Nothing in these Terms or in your use of the Platform creates any partnership, joint venture, employment, agency, or similar relationship between Telehealth GG and Wheel, and neither party has authority to bind the other. The presentation of Wheel's services through a Telehealth GG-branded interface does not make Wheel or its Clinicians the agents, employees, or representatives of Telehealth GG, and does not make Telehealth GG responsible for Wheel's acts or omissions.
2.7 No Guarantee of Treatment; Clinician Discretion and Refer-Outs. Telehealth GG does not guarantee that you will be found eligible for, offered, or provided any Clinical Service, prescription, or particular outcome. Whether to evaluate, treat, prescribe for, or refer you elsewhere is determined solely by Wheel Provider Group and its Clinicians in their independent professional discretion, and they may decline service or refer you to in-person or other care at any time. Telehealth GG has no role in, and no responsibility for, any such determination.
2.8 Prescriptions. Any decision to prescribe, the selection of any medication or therapy, and any choice of dispensing pharmacy are made solely by Wheel Provider Group and its Clinicians and the applicable pharmacy. Telehealth GG does not prescribe, dispense, fill, ship, or have any involvement in medications or their fulfillment.
2.9 Not for Emergencies. THE PLATFORM AND THE CLINICAL SERVICES ARE NOT FOR EMERGENCIES. If you are experiencing a medical emergency, call 911 or your local emergency number, or go to the nearest emergency room immediately. Do not use the Platform to attempt to obtain emergency medical care. Neither Telehealth GG nor Wheel offers emergency services through the Platform.
2.10 Where to Direct Clinical and Health-Data Matters. Because Telehealth GG does not provide Clinical Services and does not access or hold your Health Information, any question, request, complaint, consent, records request, privacy request, billing dispute relating to clinical charges, or claim concerning your care, your treatment, your medical records, your Health Information, your prescriptions, or your provider-patient relationship must be directed to Wheel through the channels Wheel provides, and not to Telehealth GG. The applicable terms, privacy practices, notices, and contact information for all such matters are available directly from Wheel.
3. Eligibility and Account Use
3.1 Age and Capacity. You must be at least eighteen (18) years old and able to form a binding contract to create a Telehealth GG Account or use the Platform. By using the Platform you represent that you are at least 18. Any provision of Clinical Services to a minor, where offered at all, is permitted only where Wheel expressly allows it and is governed solely by the Wheel Terms; Telehealth GG does not separately evaluate or authorize care for minors.
3.2 Geographic Availability. The Platform and the Clinical Services are intended only for users physically located in the United States. Availability of Clinical Services depends on the states in which Wheel and its Clinicians are licensed and available, may vary by state and over time, and may be limited or unavailable in your location. Telehealth GG makes no representation that the Platform or any Clinical Service is appropriate or available in any particular location, and you are responsible for compliance with the laws applicable where you are located.
3.3 Accurate Information. You agree to provide accurate, current, and complete information when you register and when you submit payment, and to keep that information current. Providing false information may result in suspension or termination of your Account.
3.4 Account Security. You are responsible for all activity under your Account and for safeguarding your credentials. We are not liable for any loss arising from unauthorized use of your Account that results from your failure to keep your credentials secure.
3.5 One Account; No Transfer. You may maintain only one Telehealth GG Account for your personal use, and you may not sell, transfer, or assign your Account to any other person.
4. The Information We Hold; Privacy
4.1 Limited Account Information. The only account information Telehealth GG collects and holds is basic front-end account information, namely your name and email address, used to create and administer your Telehealth GG Account.
4.2 Payment Information. Telehealth GG also holds final payment information relating to the charges processed through the Platform, such as the amount charged, the date, a transaction or order reference, and related billing information, as described in Section 5. Sensitive cardholder data is handled by our third-party payment processor, not stored by Telehealth GG, except as described in our Privacy Policy.
4.3 Health Information Is Held by Wheel, Not Us. Telehealth GG does not collect, receive, host, store, access, or process any Health Information. Your intake responses, clinical communications, diagnoses, prescriptions, laboratory results, medical records, and all other Health Information are submitted to, collected by, and maintained exclusively by Wheel within Wheel's systems. Telehealth GG has no access to that information.
4.4 Our Privacy Policy. Our handling of the limited account and payment information described above is governed by our Privacy Policy, available at https://www.telehealth.gg/legal/privacy. Our Privacy Policy does not, and cannot, govern Wheel's handling of your Health Information.
4.5 HIPAA and Notice of Privacy Practices. Because Telehealth GG does not provide Clinical Services and does not access or maintain Health Information, Telehealth GG is not your health-care provider for purposes of HIPAA. Wheel is responsible for the privacy and security of your Health Information and for providing any notice of privacy practices, authorizations, and consents required by law. Any request to access, amend, restrict, or obtain an accounting of your Health Information must be directed to Wheel.
5. Charges, Billing, and Refunds
5.1 Fees Are Set by Wheel. The fees for Clinical Services, including any visit fees, laboratory fees, and related charges, are established by and are owed to Wheel Provider Group, and are charged by the Wheel Provider Group, with Wheel Health, Inc. acting as Wheel Provider Group's authorized administrative and payment-processing agent. Telehealth GG does not set, mark up, discount, subsidize, share, split, or retain those clinical fees. The applicable price is disclosed to you at or before checkout, and, as provided in the Wheel Terms, fees for completed Clinical Services are generally non-refundable.
5.2 How Charges Are Collected. Charges for Clinical Services are collected through a payment account maintained in Telehealth GG's name with our third-party payment processor. Telehealth GG provides and hosts that payment account solely as an administrative convenience and acts only as a pass-through collection conduit for Wheel and Wheel Provider Group, with no mark-up and no retention of clinical fees. Amounts collected for Clinical Services are for the account of Wheel and its provider group and are remitted accordingly. Telehealth GG's role in collection does not make Telehealth GG the provider of any Clinical Service, does not create any provider-patient relationship, and gives Telehealth GG no interest in or responsibility for the underlying care.
5.3 Authorization to Charge. By submitting a payment through the Platform, you authorize the charge to your selected payment method for the amount disclosed at checkout, together with any applicable taxes and fees, and you represent that you are authorized to use that payment method.
5.4 Payment Processor. Payments are processed by a third-party payment processor (for example, Stripe). Your use of the payment processor is subject to its own terms and privacy policy. Telehealth GG is not responsible for the acts or omissions of the payment processor, and you should review the processor's terms before submitting payment.
5.5 Refunds, Cancellations, and Refer-Outs. Because the Clinical Services and the related fees are provided and owned by Wheel, all requests for refunds, credits, or adjustments relating to Clinical Services, including where a Clinician declines service or refers you elsewhere, are determined by Wheel in accordance with the Wheel Terms and applicable law, and must be directed to Wheel. Missed-appointment or late-cancellation fees, if any, are governed by the Wheel Terms. To the extent a refund of a Clinical Service charge is authorized by Wheel, it may be processed back through the same payment account used to collect it. Telehealth GG does not independently grant or deny refunds for Clinical Services.
5.6 Billing Disputes and Chargebacks. If you believe a charge is incorrect, you agree to contact us at legal@telehealth.gg and, for any matter relating to the Clinical Services, to contact Wheel, before initiating a chargeback, so the matter can be reviewed and resolved. Initiating a chargeback does not relieve you of responsibility for amounts properly owed for services you received.
5.7 Taxes. You are responsible for any applicable taxes, and for any fees your bank or card issuer may impose, in connection with your payments.
5.8 Recurring Charges. If you enroll in any service that involves recurring or scheduled charges, the applicable amount, frequency, and cancellation method will be disclosed to you at enrollment, and you authorize the recurring charge until you cancel as described at that time.
6. Acceptable Use
You agree to use the Platform only for its intended, lawful purpose and in compliance with these Terms and all applicable laws. You agree that you will not: (a) provide false, misleading, or fraudulent information, or impersonate any person or misrepresent your identity, age, or location; (b) use the Platform on behalf of any other person without authorization; (c) attempt to gain unauthorized access to, interfere with, disrupt, or damage the Platform or any system or network connected to it, including by introducing malware or launching denial-of-service attacks; (d) reverse engineer, decompile, scrape, data-mine, or use any automated means to access or extract data from the Platform, except as expressly permitted; (e) circumvent any security, authentication, or access-control measure; (f) use the Platform to violate the rights of others or to transmit unlawful, infringing, or harmful content; or (g) use the Platform to resell, redistribute, or commercially exploit the Services without our written permission. Violation of this Section may result in immediate suspension or termination of your access under Section 15.
7. Intellectual Property
7.1 Our Content and Marks. The Platform and its contents, including the Telehealth.gg name and logo and all software, text, graphics, design, and other materials provided by Telehealth GG (collectively, "Telehealth GG Content"), are owned by Telehealth GG or its licensors and are protected by intellectual-property laws. Except for the limited license in Section 7.3, Telehealth GG retains all rights, and you acquire no ownership interest in any Telehealth GG Content.
7.2 Third-Party Marks. Wheel's names, marks, and content, and those of any payment processor, pharmacy, laboratory, or other third party, are the property of their respective owners. These Terms grant you no right to use any third-party marks.
7.3 Limited License to You. Subject to your compliance with these Terms, Telehealth GG grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your own personal, non-commercial use of the Services.
7.4 Feedback. If you send us feedback, ideas, or suggestions about the Platform, you grant Telehealth GG a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use and exploit that feedback for any purpose without obligation to you.
7.5 Copyright Notices. If you believe content on the Platform infringes your copyright, you may notify our designated agent in writing at legal@telehealth.gg with the information required under the Digital Millennium Copyright Act, and we will respond as required by applicable law.
8. Third-Party Services, Links, and Wheel
8.1 Wheel and the Clinicians. Wheel and Wheel Provider Group Clinicians are independent third parties, not Telehealth GG. Telehealth GG does not control, supervise, endorse, or warrant Wheel, Wheel Provider Group, the Clinicians, their qualifications, their availability, or the Clinical Services, and is not responsible or liable for their acts or omissions. Your relationship with Wheel, including all clinical, records, privacy, billing-dispute, and consent matters, is governed by the Wheel Terms.
8.2 Payment Processors and Other Vendors. The Platform relies on third-party vendors, including a payment processor and identity-verification and infrastructure providers. Your use of any such third-party service may be subject to that party's separate terms. Telehealth GG is not responsible for the acts, omissions, or content of third-party vendors.
8.3 Third-Party Links. The Platform may contain links to third-party websites or services that Telehealth GG does not own or control. Telehealth GG does not endorse and is not responsible for those sites, and your use of them is at your own risk and subject to their terms.
9. Disclaimer of Warranties
THE PLATFORM AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, TELEHEALTH GG DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TELEHEALTH GG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL OPERATE WITH ANY PARTICULAR DEVICE OR NETWORK.
TELEHEALTH GG MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND REGARDING THE CLINICAL SERVICES, WHEEL, OR THE CLINICIANS, INCLUDING WITHOUT LIMITATION ANY WARRANTY AS TO THE QUALITY, SAFETY, EFFICACY, TIMELINESS, AVAILABILITY, OR OUTCOME OF ANY CLINICAL SERVICE, THE QUALIFICATIONS, LICENSURE, OR CONDUCT OF ANY CLINICIAN, OR THE ACCURACY OR HANDLING OF ANY HEALTH INFORMATION. ALL CLINICAL SERVICES AND ALL HEALTH INFORMATION ARE PROVIDED AND CONTROLLED SOLELY BY WHEEL, AND ANY WARRANTY, GUARANTEE, OR RESPONSIBILITY WITH RESPECT TO THEM, IF ANY, IS WHEEL'S ALONE AND MUST BE PURSUED AGAINST WHEEL.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10. Assumption of Risk; Release of Telehealth GG
YOU UNDERSTAND AND AGREE THAT TELEHEALTH GG IS A FRONT-END TECHNOLOGY AND ADMINISTRATIVE PLATFORM ONLY, THAT IT DOES NOT PROVIDE CLINICAL SERVICES OR MEDICAL ADVICE, AND THAT IT DOES NOT ACCESS OR HOLD YOUR HEALTH INFORMATION. YOU ASSUME ALL RISK ASSOCIATED WITH OBTAINING HEALTH-CARE SERVICES BY TELEHEALTH AND WITH YOUR INTERACTIONS WITH WHEEL AND THE CLINICIANS.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND DISCHARGE THE TELEHEALTH GG PARTIES (DEFINED IN SECTION 11) FROM ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, AND DAMAGES OF EVERY KIND, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO: (A) THE CLINICAL SERVICES OR ANY ACT OR OMISSION OF WHEEL OR ANY CLINICIAN, INCLUDING ANY DIAGNOSIS, TREATMENT, PRESCRIBING, FAILURE TO TREAT, OR CLINICAL OUTCOME; (B) ANY MEDICAL MALPRACTICE, PROFESSIONAL NEGLIGENCE, OR PRODUCT-LIABILITY CLAIM RELATING TO CARE OR MEDICATIONS; (C) WHEEL'S COLLECTION, USE, STORAGE, DISCLOSURE, OR LOSS OF YOUR HEALTH INFORMATION; AND (D) THE PROVIDER-PATIENT RELATIONSHIP BETWEEN YOU AND WHEEL. YOU AGREE THAT ANY SUCH CLAIM MUST BE BROUGHT AGAINST WHEEL OR THE APPLICABLE CLINICIAN, AND NOT AGAINST THE TELEHEALTH GG PARTIES.
THIS RELEASE DOES NOT PURPORT TO WAIVE ANY CLAIM THAT CANNOT BE WAIVED OR RELEASED AS A MATTER OF APPLICABLE LAW, AND DOES NOT LIMIT ANY LIABILITY OF WHEEL OR ANY CLINICIAN. IF YOU ARE A RESIDENT OF A JURISDICTION THAT LIMITS THE RELEASE OF UNKNOWN CLAIMS, THIS RELEASE APPLIES TO THE FULLEST EXTENT PERMITTED BY THE LAW OF THAT JURISDICTION.
11. Limitation of Liability
11.1 Telehealth GG Parties. As used in these Terms, the "Telehealth GG Parties" means Telehealth GG LLC and its affiliates and their respective members, managers, officers, directors, employees, agents, and licensors.
11.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TELEHEALTH GG PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE PLATFORM, THE SERVICES, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 WITHOUT LIMITING THE RELEASE IN SECTION 10, THE TELEHEALTH GG PARTIES WILL HAVE NO LIABILITY OF ANY KIND ARISING OUT OF OR RELATING TO THE CLINICAL SERVICES, THE ACTS OR OMISSIONS OF WHEEL OR ANY CLINICIAN, ANY CLINICAL OUTCOME, ANY PRESCRIPTION OR MEDICATION, OR WHEEL'S HANDLING OF YOUR HEALTH INFORMATION, ALL OF WHICH ARE THE SOLE RESPONSIBILITY OF WHEEL.
11.4 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TELEHEALTH GG PARTIES' TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, THE SERVICES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF PLATFORM OR ADMINISTRATIVE FEES, IF ANY, RETAINED BY TELEHEALTH GG FROM YOU (EXCLUDING PASS-THROUGH CLINICAL FEES COLLECTED FOR WHEEL) IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
11.5 Exceptions. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for a party's own fraud or for death or personal injury caused by a party's own negligence. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, in which case the Telehealth GG Parties' liability will be limited to the maximum extent permitted by law.
11.6 Allocation of Risk. You acknowledge that the disclaimers, release, and limitations in these Terms are a fair allocation of risk between you and Telehealth GG, that they reflect the limited, front-end role Telehealth GG plays, and that they will survive and apply even if any limited remedy fails its essential purpose.
12. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Telehealth GG Parties from and against any and all third-party claims, demands, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your breach of these Terms or any applicable law; (c) your violation of the rights of any third party; or (d) any information you provide that is false or misleading. Telehealth GG may assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate. This obligation survives termination of your use of the Platform.
13. Dispute Resolution and Arbitration
Please read this Section carefully. It requires most disputes between you and Telehealth GG to be resolved by binding individual arbitration and waives your right to a jury trial and to participate in a class action. This Section governs disputes between you and Telehealth GG only. It does not apply to, and does not govern, any dispute between you and Wheel, which is governed by the Wheel Terms.
13.1 Informal Resolution. Before commencing arbitration, you agree to first contact us at legal@telehealth.gg with a written description of your claim and to attempt in good faith to resolve it informally for at least thirty (30) days.
13.2 Binding Arbitration. If the dispute is not resolved, you and Telehealth GG agree that any dispute, claim, or controversy arising out of or relating to the Platform, the Services, or these Terms (a "Dispute") will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, before a single arbitrator, seated in Austin, Texas. Judgment on the award may be entered in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act.
13.3 Class Action Waiver. To the fullest extent permitted by law, you and Telehealth GG agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any representative or class proceeding.
13.4 Exceptions. Either party may bring a qualifying claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or to address unauthorized access to or use of the Platform. If the class-action waiver in Section 13.3 is found unenforceable as to any Dispute, that Dispute will proceed in court, but the remainder of this Section will continue to apply.
13.5 Opt-Out. You may opt out of this Section 13 by sending written notice to legal@telehealth.gg within thirty (30) days after you first accept these Terms, stating your name and a clear statement that you opt out of arbitration. Opting out will not affect any other provision of these Terms.
13.6 Severability. If any portion of this Section 13 (other than the class-action waiver) is found unenforceable, that portion will be severed and the remainder will continue in effect.
13.7 Time to Bring a Claim. To the fullest extent permitted by applicable law, any claim against the Telehealth GG Parties arising out of or relating to the Platform, the Services, or these Terms must be filed within one (1) year after the claim arose, or it is permanently barred.
14. Governing Law and Venue
These Terms and any Dispute arising out of or relating to them or the Platform are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 13. Subject to Section 13, you agree that any judicial proceeding (other than a small-claims action) will be brought exclusively in the state or federal courts located in Austin, Travis County, Texas, and you consent to the personal jurisdiction of those courts. Nothing in this Section limits any non-waivable consumer protection available to you under the law of your state of residence.
15. Term, Termination, and Suspension
15.1 By You. You may stop using the Platform at any time and may request deletion of your Telehealth GG Account by contacting us at legal@telehealth.gg. Deletion of your Telehealth GG Account does not affect your records or relationship with Wheel, which are governed by the Wheel Terms and must be addressed with Wheel.
15.2 By Telehealth GG. We may suspend or terminate your access to the Platform, in whole or in part, at any time, with or without notice, if you violate these Terms, if we are required to do so by law, or if we discontinue the Platform. We may also discontinue the Platform or any feature at any time.
15.3 Effect; Survival. Upon termination, the license granted to you ends and you must stop using the Platform. Sections 2, 4, 5, 7, 9, 10, 11, 12, 13, 14, and 16, and any other provision that by its nature should survive, will survive termination.
16. General Provisions
16.1 Entire Agreement. These Terms, together with our Privacy Policy and any additional policies we post, are the entire agreement between you and Telehealth GG regarding the Platform and supersede any prior agreements regarding that subject matter. The Wheel Terms separately govern your relationship with Wheel.
16.2 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later. No waiver is effective unless in writing.
16.3 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties' permitted successors and assigns.
16.5 Third-Party Beneficiaries. Wheel Health, Inc., its affiliated professional entities and provider groups, the Clinicians, and our payment processor are intended third-party beneficiaries of the disclaimers, the release in Section 10, and the limitations of liability in Section 11, and may enforce those provisions. Except as expressly stated, there are no other third-party beneficiaries to these Terms.
16.6 Force Majeure. Telehealth GG is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, outages, network or vendor failures, labor conditions, governmental action, and similar events.
16.7 Equitable Remedies. You acknowledge that a breach of these Terms may cause irreparable harm for which monetary damages are inadequate, and that Telehealth GG may seek injunctive relief without the need to post a bond.
16.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." References to Sections are to Sections of these Terms.
16.9 Notices and Contact. We may provide notices to you by email to the address associated with your Account or by posting on the Platform. 16.10 Language. These Terms are provided in English, which controls over any translation.
By creating an account or otherwise using the Platform, you acknowledge that you have read, understood, and agree to these Terms of Service.
